Formal proposal will be coming later (have bigger fish to fry right now) but I have some recommendations for improving LPF Constitution Article III Section 4 regarding filling Executive Committee vacancies:

 1) allow the Chair to do interim appointments by email without meeting, we only need a special meeting if the Chair is the vacancy.
2.) rework the confirmation election to be ranked choice or some other voting method that doesn't bias the outcome in favor of the chair's interim appointee.
3.) clarify that the election is at the next regular meeting after the vacancy, not the next after the interim appointment.
4.) provide for election for full delegation at the next convention for two-year terms that become vacant in the first year.

I propose repealing the LPF Constitution Article III Section 4 Subsection F in its entirety.

These are provisions that don't need to be the Constitution since they regard establishing committees that have already been established in the Bylaws. The policy on committee electronic meetings, if necessary at all, can go in the Standing Rules.

I propose amending LPF Constitution Article III Section 4 to remove the statement that "Regional Representatives shall be elected at the Annual Business Meeting and shall serve for a period of one (1) year. " since this contradicts the following statement that they serve until the close of the next annual business meeting. Instead, the section should state that Region Representatives are elected at every Annual Business Meeting, and then this will work properly with the following clause about serving until the next of the next one.

I recommend repealing LPF Constitution Section 6 Subsection D, E, and F and replacing with a new section that requires the EC to publish timely notice of meeting location, purpose, and call-in info on its public and functional website, as well as minutes, changes to the Executive Committee composition, and up-to-date governing documents on the public and functional website.

I also recommend adding "Bylaws" to Subsection B.

I recommend amending LPF Constitution Article VIII Subsection B to replace the clause "Upon establishment of affiliates in each county of Florida" with "When at least 15 county affiliates are active" or some similar language.

The current clause is pretty much useless for purpose since even missing one affiliate out of 67 makes it impossible to execute. A minimum number of affiliates in the 15-20 range does allow safeguards for not changing the Constitution willy nilly while still making it actually possible to do.

It may also be wise to state how a county affiliate can ratify a constitutional amendment.

I propose to delete Section 3 in Article III of the LPF Constitution, renumbering appropriately, and modify the main Section of the current Article III, Section 4 to read as follows:

Election of Executive Committee.

The Chair, Vice-Chair and odd numbered Directors-at-large shall be elected in odd numbered years. The Secretary, Treasurer, and even numbered Directors-at-large shall be elected in even numbered years and in 2001.

The Officers and Directors-at-large of the Executive Committee shall be elected at the Annual Business Meeting by majority vote of the delegate assembly, to serve a term of two years or until the closest Annual Business Meeting at the end of their term, at which time these seats shall be up for reelection.

Regional Representatives shall be elected at the Annual Business Meeting by majority vote of delegates from the region to be represented, to serve a term which shall expire at the next Annual Business Meeting, at which time these seats shall be up for reelection.

I propose to modify sub-section A of LPF Constitution Article III, Section 4 to read:

"No offices shall be combined."

I propose amending Article III, Section 4, sub-section C of the LPF Constitution to read:

"Every LPF Executive Committee office and seat shall be deemed vacant following the rules provided in Florida law for political party office vacancies. In addition to those rules, a total of 5 absences from regular Executive Committee meetings in a consecutive 12-month calendar period shall be considered a vacancy."

I propose amending Article III, Section 6, sub-section D of the LPF Constitution to read:

"Notice of all regular Executive Committee Meetings, including location and call-in or webinar information, shall be sent to all County Chairs at least 14 days in advance to allow general membership attendance."

I propose the following language to replace the current sub-sections D,E,F, of Article III, Section 4 of the LPF Constitution:

D. The presiding officer shall have the authority to appoint a qualified and willing LPF member to fill a vacant officer seat. The appointee shall be vested immediately with the duties and powers of the office. The LPF shall notify the Florida Department of Elections of any change in the filing certificate within five (5) days to satisfy the requirements of Florida Law.

E. If the Annual Business Meeting will occur within 60 days, the vested
appointee will retain the office until that meeting. If the Annual Business Meeting will not occur within 60 days, the Executive Committee shall, at its next regularly scheduled meeting, elect a
qualified LPF member to the office. The election shall be by roll-call vote in order of nomination. The vested appointee shall be the first nominee voted upon.

F. Non-officer seat vacancies may be filled by 2/3 vote of the Executive Committee at the immediate next regularly scheduled meeting following the vacancy.

I propose to amend LPF Bylaws Article I Section 5 to read:

"The LPF Rules Committee shall be the final arbiter of any disputes or conflicts of Section 4, and shall have the authority to enforce the rules stated in the Constitution and Bylaws of the LPF and its County Affiliates."
